Bare Feet Projects – Terms & Conditions

These Terms & Conditions apply to all services provided by Bare Feet Projects.

1. Our Services

Bare Feet Projects provides practical project support, advisory, and delivery services.

Services are delivered on a best-endeavours basis, using lightweight and proportionate approaches rather than heavy governance or formal project management frameworks.

​

Where required, we can operate within client governance frameworks or agreed delivery standards.

​

We support planning, coordination, decision-making, and delivery — but we do not guarantee specific business outcomes.

​

2. Scope of Work

The scope of each engagement is agreed in advance, either via email, proposal, or written summary.

Any work requested outside the agreed scope may:

• Require additional time

• Incur additional fees

• Need written agreement before proceeding

 

Indicative timelines are dependent on timely input, decisions, and availability from the client and any third parties.

3. Client Responsibilities

Clients are responsible for:

• Providing accurate and timely information

• Making decisions when required

• Ensuring access to stakeholders, systems, or suppliers where relevant

 

Delays or changes caused by missing information or late decisions may impact delivery timelines and costs.

​

We are not responsible for delays or impacts caused by factors outside our reasonable control.

​

4. Fees & Payment

All fees are agreed in advance of work commencing and confirmed in writing.

Unless otherwise stated, work is commissioned on the basis of an agreed quotation, statement of work, or written confirmation of scope. Invoices are issued in accordance with the agreed payment terms.

Payment terms

• Payment is due in advance, or in line with the agreed invoice schedule

• Payment is typically made by bank transfer, unless otherwise agreed

• Work may be paused or rescheduled if payment terms are not met

 

VAT
All prices quoted or stated are exclusive of VAT.
VAT will be charged at the prevailing rate and added to invoices where applicable.

Time-based services
Where services are provided on a time-based basis, charges apply to time reasonably spent delivering, preparing for, or supporting the agreed work, including meetings, reviews, and related delivery activity.​

​

Any changes to scope or requirements may result in a revised fee, which will be agreed in advance.

​

Unless otherwise agreed, invoices are payable within 14 days of issue for Studio & Lite Support.

​

Unless otherwise agreed, invoices are payable within 30 days of issue for Professional services.

​

We reserve the right to charge statutory interest on late payments in line with the Late Payment of Commercial Debts (Interest) Act 1998.

5, Site Visits & On-Site Support

Where on-site attendance is required, this will be agreed in advance and charged separately, unless included within an agreed scope of work.

​

Site visit charges are typically based on:

• duration of attendance (half-day or full-day)

• travel time and location

• frequency of visits

• the nature and complexity of the work involved

 

Any associated travel or accommodation costs will be agreed in advance.

​

On-site support is normally charged at a daily or half-day rate and confirmed as part of the agreed commercial terms.

​

6. Cancellations & Refunds

Because our services involve professional time and preparation:

• Time already worked is non-refundable

• Unused time or sessions may be refunded or credited at our discretion, depending on notice given and work already undertaken

 

Notice periods and any applicable refunds or credits will be confirmed as part of the agreed scope of work.

We aim to be fair and pragmatic — if circumstances change, talk to us.

​

7. Liability

Bare Feet Projects will not be liable for any indirect or consequential losses, including (but not limited to):

• Loss of profit

• Loss of revenue

• Loss of business opportunity

• Loss of anticipated savings

 

Our total liability for any direct loss or damage arising from the services we provide will be limited to the total fees paid for the relevant service.

Nothing in these Terms & Conditions limits or excludes liability for:

• Death or personal injury caused by negligence

• Fraud or fraudulent misrepresentation

 

Nothing in these Terms limits any liability that cannot be excluded by law.

​

8. Intellectual Property

Unless otherwise agreed:

• Any materials, templates, or documents created by Bare Feet Projects remain our intellectual property

• Clients are granted a licence to use these materials for their internal business purposes

 

Materials may not be resold or redistributed without written permission.

Where deliverables are expressly created for a client as part of a specific engagement, ownership and usage rights will be agreed in writing.

​

9. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, unless disclosure is required by law.

​

10. Governing Law

These Terms & Conditions are governed by the laws of England and Wales, this obligation survives the end of the engagement.

​

11. Changes to These Terms

We may update these Terms & Conditions from time to time.
The version in effect at the time services are agreed will apply.
